Business resolutions are a set of decisions made by the managing board of the entity and recorded by the officer of the said entity. For most resolutions to take effect they must be ratified and adopted.
Often, resolutions are made during annual or special meeting of the Board of Directors, Members or Shareholders. Rarely, instead of the meeting the Resolutions are ratified through the unanimous consent of the managing board of the Corporation of the Limited Liability Company.
HOW THE RESOLUTIONS ARE MADE?
The governing document for the Resolutions is By-Laws (in case of Corporations) or Operating Agreement (for LLC's). These provide the essential principles for ratification and adoption of the Resolutions.
WHAT IS THE PURPOSE OF RESOLUTIONS?
The main use of the Business Resolutions is proof of the decisions made by the Entity inrards to certain actions. It is very common when the entity conducts transactions outside of the United States to face the requirement for Resolutions to be presented with Apostille or Embassy Attestation.
HOW TO GET BUSINESS RESOLUTIONS APOSTILLE?
The resolution is an internal business record. A such, for apostille and authentication purposes, it must be signed by the authorized officer or member of the entity in front of Notary, their signature must be notarized and only then the document may be eligible for apostille certification or embassy attestation.
WHAT IF APOSTILLE IS NOT ACCEPTED?
In cases when the Corporate Resolutions are being prepared for countries which are not part of Apostille Convention, a special authentication process must be followed. This is known as Embassy Attestation. To get documents authenticated, they will have to go through the Office of Secretary of State, Authentications office at US Department of State and lastly stamped by the Consular Section of the target Embassy or Consulate.
